Terms of Use

These terms are an agreement between you and Phlorin LLC (“Kemback”, “we”, “us”) about your use of the Kemback website, web app and mobile apps (together, “the Service”). Please read them. By creating an account or using the Service, you agree to them. If you don’t agree, don’t use the Service.

1. Who can use Kemback

You must be at least 18 years old and able to form a binding contract. If you use Kemback for an organization, you confirm you’re authorized to accept these terms for it.

2. Your account

  • Give us accurate information, including an email address you can receive mail at.
  • Keep your password, passkeys and two-step verification codes safe. You’re responsible for what happens under your account.
  • Tell us straight away at hello@kemback.com if you think someone else has used your account.

Email. We send you essential messages about your account. We send product news and tips only if you opt in, and you can unsubscribe at any time: with the link at the bottom of any marketing email, your mail app’s own Unsubscribe button, or the switch on your Profile page.

3. Households

A household is a shared space for accounts, budgets and transactions. When you invite someone into your household, they can see and, depending on the role you give them, change what’s shared with that household. Accounts you mark as private stay visible only to you. You’re responsible for who you invite and the roles you give them. Owners can change roles and remove members.

4. Your data

You own your data. The financial information, files and other content you put into Kemback (“Your Data”) remain yours.

You give us permission to store, process and display Your Data only as needed to run the Service for you and the members of your households: for example, to show your register, calculate your budget, send the alerts you ask for, and keep backups. We don’t sell Your Data, and we don’t use it to advertise to you. Our Privacy Policy explains what we collect and how we handle it.

You can export Your Data at any time from the app, in JSON and CSV formats.

Connecting an AI assistant

On plans that include it, you can connect an AI assistant (such as Claude, ChatGPT or Microsoft Copilot) to Kemback. A connection is read-only, limited to the households you choose, and you can revoke it at any time in Security → Connected apps. You direct us to share that data with the assistant. Once the assistant receives it, its provider handles it under its own terms, and we aren’t responsible for what the assistant does with it or tells you. An AI assistant’s answers can be wrong, and they aren’t financial advice from us (see section 9).

5. Bank connections

Where the Service offers automatic bank connections, they’re provided through a third-party aggregator (such as Plaid). You authorize the aggregator directly, and its own terms and privacy policy apply to that connection. Kemback never asks for or stores your bank username or password. Bank data can be delayed, incomplete or wrong, and banks can change or end their connections. Always check important balances with your bank.

6. Plans and payment

The Free plan is free. Paid plans are billed in advance for the period you choose, and renew automatically until you cancel. We’ll show the price, and any taxes, before you pay. You can cancel any time; you keep paid features until the end of the period you’ve paid for. Except where the law requires otherwise, payments are not refundable. If we change a paid plan’s price, we’ll tell you at least 30 days before it applies to you, and you can cancel before then.

Buying Plus in the iPhone app. If you subscribe to Plus in our iPhone app, Apple processes the payment and charges it to your Apple ID, under the App Store’s terms. Apple renews the subscription automatically until you cancel it, which you do in your iPhone’s Settings (tap your name, then Subscriptions) at least 24 hours before the current period ends. We can’t cancel an App Store subscription for you, even if you delete your Kemback account. Refunds for purchases made in the app are decided by Apple, under its own policies: ask for one at reportaproblem.apple.com. Paper Trail isn’t sold in the app.

The Paper Trail add-on

  • Billing. Paper Trail is our add-on for documents: a separate subscription, billed monthly or yearly in advance at the price shown when you buy it on our website. You can add it to the Free plan or to Plus. It renews each month or year until you cancel. It includes the number of documents per person per month shown on our pricing page.
  • Extra documents. Only if you allow them in Settings, documents beyond those included come in blocks, at the block size and price shown on our pricing page, up to a monthly spending limit you set. Extras are charged in arrears, after the month ends: on a monthly subscription they’re added to your next subscription invoice; on a yearly one, they’re invoiced once for that month. You can change your limit, or turn extras off, at any time; it applies from then on.
  • When you reach what’s included or your limit. New uploads wait until the next month (or until you allow more). Documents you email in are kept, and read then. Nothing is deleted.
  • Cancelling. You can cancel at any time in Plan and billing, and you keep the add-on until the end of the period you’ve paid for.
  • When it ends. You can no longer add, edit or link documents. For 90 days you can still view, download, export and delete the documents already in your households. After a household has gone 90 days without anyone in it having the add-on, its documents are deleted, so download anything you want to keep.
  • What’s read can be wrong. Documents are read automatically, and the details we fill in can be wrong. Check them before you rely on them.
  • Limits. Each file can be up to 20 MB.
  • Your right to share. Send us only documents you have the right to share.

The Rental Houses add-on

  • Billing. Rental Houses is our add-on for rental homes: a separate subscription for one household, billed monthly or yearly in advance at the price shown when you buy it on our website. One member subscribes, and every member of that household can use it. It renews each month or year until you cancel it in Plan and billing, and you keep it until the end of the period you’ve paid for. Rental Houses isn’t sold in our apps.
  • If you leave the household. If the member who pays leaves the household, or is removed from it, their subscription stops covering that household straight away, and it ends at the end of the period already paid for, without renewing.
  • When nobody subscribes. If no member of a household has Rental Houses, its rental data (homes, leases, tenants, mortgages, and the homes its transactions are assigned to) stays readable and exportable, but read-only, until a member subscribes again.
  • Tenants’ details. You need a lawful basis to keep the tenant details you enter.
  • Not tax advice. Schedule E figures and exports are an organization of your own records by the lines of IRS Schedule E. They aren’t tax advice from us (see section 9): check them, and ask a tax professional what you can deduct.

Leases and e-signatures in Rental Houses

  • Not legal advice. Lease templates, including the two samples we provide, aren’t legal advice. You’re responsible for making sure your leases comply with the law where your homes are, and for having a lawful basis to keep your tenants’ details and to invite them to Kemback.
  • We’re not a party to your leases. Kemback provides the tools to write, send and sign a lease, and keeps the signing record, but we aren’t a party to any lease between a landlord and a tenant.
  • Electronic signatures. Signatures made in Kemback are intended to satisfy the US Electronic Signatures in Global and National Commerce Act (ESIGN Act) and the Uniform Electronic Transactions Act (UETA). Whether a particular lease or signature is enforceable depends on the law that applies to it.
  • No payments. Kemback doesn’t process rent, deposit or any other payments between landlords and tenants. Tenants pay their landlord directly, and the landlord records what they receive.
  • Tenant accounts are free. A tenant invited to a tenant portal uses a normal Kemback account and pays nothing for it. A tenant sees only their own bookings, leases and payments, never anything else of the landlord’s household.

Referrals

You can invite friends with your referral link. When a friend you invited signs up and pays for Plus, and their payment isn’t refunded or disputed, you get a free month of Plus: a credit on your next payment, or a month of Plus added to your plan. Your friend’s first month of Plus bought on our website is free. You can’t refer yourself, and each person can earn up to the number of free months a year shown in the app. Rewards have no cash value and can’t be exchanged or transferred. We may change or end the programme at any time. Abuse, such as fake accounts or referring yourself, voids rewards, and we may take back rewards obtained that way.

7. Text messages and WhatsApp

Plus members can choose to get alerts by text message (SMS) or WhatsApp. This is optional: you turn it on yourself, for each phone number and channel, and consent to it is not a condition of buying anything. Message frequency varies with the alerts you choose, up to the monthly limit shown in the app (100 messages a month unless we tell you otherwise). Message and data rates may apply. Reply STOP to any message to cancel, and HELP for help; you can also turn messages off in Settings. Carriers aren’t liable for delayed or undelivered messages. Text messages are available for mobile numbers in the United States and Canada. WhatsApp messages are also subject to WhatsApp’s own terms and policies.

8. Acceptable use

Don’t:

  • break the law, or use Kemback to help anyone else break it;
  • access another person’s account or household without their permission;
  • probe, scan or test the Service’s security without our written permission (to report a vulnerability, write to security@kemback.com);
  • disrupt the Service, overload it, or get around its limits;
  • copy, scrape or resell the Service, or use it to build a competing product;
  • upload malicious code or content you have no right to share.

We may suspend or close accounts that break these rules, and we’ll tell you why unless the law or safety prevents it.

9. Not financial advice

Kemback is a tool for organizing your own information. Budgets, forecasts, “safe to spend” figures, reports, alerts and blog articles are general information based on the data you provide. They are not financial, investment, tax or legal advice, and they can be wrong if the underlying data is. Make important decisions with care, and with a qualified professional where appropriate.

10. Our software and content

We own the Service, including its software, design and content (other than Your Data). We give you a personal, non-exclusive, non-transferable right to use it under these terms. If you send us feedback or ideas, we may use them without owing you anything.

11. Changes and availability

We’re improving Kemback all the time, so features will change. We aim to keep the Service available, but we don’t promise it will always be available or free of errors. If we stop offering the Service, we’ll give you at least 60 days’ notice to export Your Data.

12. Ending your account

You can stop using Kemback at any time, and ask us to delete your account by writing to hello@kemback.com. We may end or suspend your access if you seriously or repeatedly break these terms, or if we have to by law. Sections 4 (ownership), 9, 13, 14, 15 and 16 continue after your account ends.

13. Disclaimer

To the fullest extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

14. Limitation of liability

To the fullest extent the law allows, Kemback and its owners, employees and suppliers won’t be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim arose, or US$50. Some places don’t allow these limits, so they may not all apply to you.

15. Indemnity

If you break these terms or the law, and someone makes a claim against us because of it, you agree to cover our reasonable costs of dealing with that claim, to the extent the law allows.

16. Governing law and disputes

These terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-law rules. Any dispute relating to these terms or the Service will be brought in the state or federal courts located in New Jersey, and you and we consent to their jurisdiction. Before starting any claim, please write to us at hello@kemback.com so we can try to resolve it informally.

17. Changes to these terms

We may update these terms. If a change is significant, we’ll tell you by email or in the app at least 30 days before it takes effect. The date at the top shows when they last changed. If you keep using Kemback after a change takes effect, the new terms apply.

18. Everything else

These terms, with the Privacy Policy, are the whole agreement between you and us about the Service. If any part can’t be enforced, the rest still applies. If we don’t enforce a term straight away, we can still enforce it later. You can’t transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets, and we’ll tell you if we do.
